AMENDED AND RESTATED

ARTICLES OF INCORPORATION

of the

AMERICAN CITIZENRY INSTITUTE

A Nevada Non-Profit Public Benefit Corporation

ARTICLE I

ORGANIZATION

The AMERICAN CITIZENRY INSTITUTE including its Center for Research on Education, Government, and Citizenship is a non-profit and non-partisan public benefit Corporation (hereinafter referred to as "Corporation") that is organized and operated in accordance with the required non-profit Corporation provisions of Nevada Revised Statute (NRS) §82, and as a non-profit Corporation formed pursuant to NRS §82.021, "Corporations for public benefit (in perpetuity)," as defined.

Furthermore, the Corporation shall be operated in accordance with and within the meaning as defined under Internal Revenue Service (IRS) Code §501(c)(3).

Should the unexpected vicissitude somehow alter our course and purpose requiring the Corporation to dissolve, the Corporation shall distribute its assets to the United States, a State, or a person who is recognized as exempt under §501(c)3 of the Internal Revenue Code as amended.

ARTICLE II

PUBLIC SERVICE CORPORATION

The Corporation shall be diligent in its perseverance and commitment to serve all American citizens of the State of Nevada, the United States of America and its territories, and to all American citizens wherever situated.

The Corporation shall also be diligent in its perseverance and commitment to serve all citizens of the United States by educating, promoting, and facilitating all matters having to do with promulgating public and private education, government (including both rights and duties), and citizenship.

ARTICLE III

PRINCIPAL OFFICE

The principal site for the Corporation for Public Benefit and its Center for Research on Education, Government, and Citizenship shall be located at 340 E. Warm Springs Road, Suite 2B, Las Vegas, Nevada 89119-4258; however, as the need arises for a different site or for nationwide affiliate operations or satellite offices, the Board of Trustees shall determine such matters at their discretion, pursuant to the Bylaws of the Corporation.

ARTICLE IV

PRIMARY PURPOSE

The primary purpose of the Corporation for public benefit is to conduct educational research on matters of citizen interests and concerns including education, government, and citizenship.

  1. Research projects on education, government, and citizenship shall be conducted under the auspices of the Corporation's Center for Research on Education, Government, and Citizenship; having the resources and ways and means to commission and contract independent research (legal or otherwise) in order to publish educational reports, particularly for dissemination on subjects and matters of public inquiry, which shall be archived in the Corporation's Citizenry Research Library.
  2. The most essential purpose and objective of the Corporation is to develop educational media and the incentives to promote greater public awareness and participation by American citizens "in the civic process" of governmental affairs.
  3. The ultimate purpose and objective is to HONOR each and every Citizen of the United States of America and as set forth in the Corporation's Bylaws Article II, §2.02 (Classes of Membership) by conferring membership certification, respecting the rights, privileges, honors, and obligations of American Citizenship with the duties and responsibilities thereunto appertaining.
  4. The Corporation shall endeavor to promote and disseminate American citizenship whenever and wherever situated, and however it can by means of education and literature.
  5. The Corporation shall endeavor to promote and disseminate corporate information by whatever means of communication necessary.
  6. Pursuant to NRS §82.086.4, it is sufficient to state, either alone or with other purposes, that the Corporation "Šmay engage in any lawful activity, subject to express limitation, if any."

ARTICLE V

MEMBERSHIP

The Corporation shall issue memberships to Citizen Members, Associate Members, and Discretionary Members for such reasons as the Board may deem necessary for furthering the purpose and objectives of the Corporation as set forth in its Bylaws.

Each Citizen member must provide proof of American citizenship before honors of membership certification can be conferred.

ARTICLE VI

COMMUNICATION

The Corporation shall be diligent in its perseverance and commitment to serve the citizen residents of the State of Nevada, the United States of America and its territories and possessions, and all other American citizens wherever situated. The Corporation shall serve and inform all Americans by whatever means of communication necessary.

ARTICLE VII

PUBLIC SUPPORT

The Corporation shall seek and find ways and means of public support and contributions such as grants and pledges from institutions, foundations, and government programs.

ARTICLE VIII

PRIVATE SUPPORT

The Corporation shall seek and find ways and means of private support including tax-exempt contributions and pledged support from Citizens and Corporate America‹giants of American industry.

ARTICLE IX

ARTICLES AND BYLAWS

The Articles of Incorporation and Bylaws of the Corporation provide its purpose and objectives. The practical reasons for the initial selections and terms and appointments of Trustees and Officers are for purposes of continuity, and should thereafter be increased or decreased depending on circumstances and need at the Board of Trustees discretion.

The qualifications for the Board of Trustees shall be determined by discretion of the Board of Trustees pursuant to NRS §82.196, §82.201, and §82.206.
